Confidentiality & IP Agreement
— Please read before signingThis Confidentiality and Intellectual Property Agreement ("Agreement") is entered into between DH Nordic Pharma Consultancy, Lahnsgade 9, 5000 Odense C, Denmark ("Disclosing Party") and the individual or entity requesting access ("Receiving Party").
1. Confidential Information
By accessing the Special Projects area, the Receiving Party acknowledges that all information disclosed — including project descriptions, product concepts, business plans, financial projections, market analyses, and licensing opportunities — constitutes strictly confidential and proprietary information of the Disclosing Party.
2. Non-Disclosure Obligations
The Receiving Party agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose or distribute any Confidential Information to any third party without prior written consent; (c) use the Confidential Information solely to evaluate a potential business relationship with the Disclosing Party.
3. Intellectual Property Rights
All Confidential Information, including all concepts, ideas, inventions, product designs, formulations, strategies, and business models remain the exclusive intellectual property of DH Nordic Pharma Consultancy. This Agreement does not transfer any IP rights to the Receiving Party. The Receiving Party shall not exploit, develop, patent, register, or commercialise any concept derived from the Confidential Information without a separate written agreement.
4. No Reverse Engineering
The Receiving Party agrees not to reverse engineer, decompile, or attempt to derive any underlying ideas, formulas, or methods from any materials disclosed.
5. Duration
The obligations of this Agreement shall remain in effect for five (5) years from the date of acceptance.
6. Remedies
Any breach may cause irreparable harm. The Disclosing Party shall be entitled to seek injunctive or equitable relief in addition to any other remedies available at law.
7. Governing Law
This Agreement is governed by the laws of Denmark. Disputes are subject to the exclusive jurisdiction of the courts of Denmark.
8. Electronic Acceptance
By ticking the checkbox and submitting this form, the Receiving Party agrees to be legally bound by all terms. Submission timestamp and IP address will be recorded as evidence of acceptance.
